Wang / HP Agreement Highlights
Wang Laboratories and Hewlett-Packard have entered into a strategic
relationship where Wang will port their series of Open Applications
to the HP9000 Series 800 computers and will be a worldwide Reseller
(VAR) for the HP9000 computers. The agreement has three
components: the Porting and Development Agreement, the Reseller
Agreement and the Support Agreement.
Porting and Development Agreement
Under the terms of the Porting and Development Agreement, Wang will
port six OPEN software products to the HP9000 Series 800 computers.
These products, with a brief description, are as follows:
OPEN/image, OPEN/workflow, Profound (document management) -
Wang's industry leading image management solutions which
allow customers and VABs to easily image enable their
applications (available June, Dec, July '93 respectively)
OPEN/office - Wang's office solution including E-mail that
has been on the VS will be ported to the Unix operating
system. (Available in Q4 of this calendar year)
Pace for Open Systems - Open Systems version of Wang's widely
accepted application development environment enables easy
porting of Pace/VS applications to HP-UX. (available
July, '93)
Cobol ReSource - Open Systems version of Wang Cobol which
allows not only porting of Cobol/VS applications but
provides VS system command recognition in the HP-UX
environment. (available Dec. '93)
Wang will be performing the port of the Open/applications.
However, HP has agreed to assist with technical consulting and will
provide equipment to enable the port to be completed as quickly as
possible.
Reseller Agreement
Under the terms of the contract, Wang has signed a three year
multi-million dollar VAR agreement. The highlights of the
agreement are as follows:
* Wang will resell the HP9000 Series 800 servers and
associated system peripherals along with their Open
Application products.
* In large HP accounts, customers may choose to purchase the
hardware directly from HP and the software from Wang. In
these cases, Wang will receive credit towards their
estimated volumes and be compensated as an ISV.
* Wang and HP will cooperatively sell and market the
Open/Applications on HP-UX to end-users and HP Channel
Partners.
* This is a worldwide VAR agreement complete with a
Multinational Addendum and international release points.
The discount is applied to the local list price. Wang will
be responsible for localization of their products for the
countries where they will be selling. Upon approval by HP,
Wang distributors will be included in the agreement in
those countries where Wang does not have a local
subsidiary.
* HP will provide training to the Wang Sales Force and will
assist in the selling of the HP systems.
Support Agreement
Wang will manage the support relationship with the customer.
Service calls will be taken and screened by Wang and where
appropriate referred to HP Customer Support for onsite problem
resolution. HP system maintenance will be subcontracted to HP. HP
will provide upfront support training to Wang. Wang will be solely
responsible for the support of their software.
